EDITH-02 · Builder Joint Ventures
Two sides.One development.
Bring land, capital, or execution muscle — EDITH brings the rest. The combined scale gets better rates from suppliers and lenders. Profit or built area is split per project, contract by contract.
- Land (owned or arranged)
- Capital (equity or debt)
- Construction execution
- Local market knowledge
- Buyer pipeline
- CA/CS compliance: RERA, GST, ROC
- Brand & market presence
- Architect-led design
- Funding access & lender relationships
- Investor & buyer network
- Project management
- Authorised engineer partners
Land. Capital. Execution. Brought together under one signed agreement, documented before any work begins.
What each side brings
A JV works when both sides have something the other doesn't
You don't need to bring everything. A land owner and a builder. A land owner and a capital partner. Capital and execution. The combination that makes the project viable is what determines the split.

The deal structure
How a JV turns a land parcel into a development
Two parties contribute different things. One development is created. Revenue and built area are shared per the agreed ratio, documented in a signed JDA before any work begins.

How a JV turns a land parcel into a development
Two parties contribute different things. One development is created. Revenue and built area are shared per the agreed ratio, documented in a signed JDA before any work begins.
You contribute
Land (parcel / asset) and capital (equity / debt) — the two things you bring.
EDITH uses two structures in AP & Telangana. Which one fits depends on your situation — the comparison below explains the difference.
| Attribute | JDA (Joint Development Agreement) | Revenue / Profit Share JV |
|---|---|---|
| Land ownership | Land owner retains title, grants development rights to builder | Land may be contributed and title is addressed in the JV agreement |
| Common structure | Land owner gets built area (flats); builder retains saleable area | Both parties share project revenue or profit per agreed ratio |
| Stamp duty | JDA registration typically attracts stamp duty at 5% of the market value of development rights (AP) — exact rate varies, confirm with legal advisor | Revenue/profit share arrangements — duty varies by structure. Get CA/CS advice. |
| RERA requirement | RERA registration required before marketing; both developer and land owner are typically co-promoters | RERA registration required; JV entity is the promoter |
| GST | GST applies on construction services portion; complex — CA/CS must structure this | GST on construction value; revenue share may have additional tax implications |
| EDITH's preferred form | ✓ Primary structure for AP/TG — more settled law, clearer precedent | Case-by-case; used where JDA structure doesn't fit |
Note: Stamp duty rates and tax treatment for JDA structures vary by district and are subject to change. The figures above are for orientation only — your CA and legal advisor must review any JDA before you sign.
Model the split
Build the deal before the conversation
Enter approximate contribution values. The deal board below gives you a starting ratio — not a term sheet. Real splits account for risk allocation, RERA exposure, management premium, and commercial negotiation.
Contribution estimator
Indicative only. This ratio is a conversation-starter, not a commitment. Real splits factor in risk premium, RERA exposure allocation, management fee, and commercial negotiation.
Land + capital contribution
Construction + brand + compliance
Indicative ratio only. Stamp duty on JDA registration is approximately 5% of development rights value in AP — confirm with your CA before signing.
From first conversation to project start
How a JV moves through EDITH
Five stages. Every obligation on both sides is in writing before the next one begins.
Initial enquiry
Tell us about the land or capital you're bringing, the location, and what you're looking for from the partnership.
No commitment at this stage — just a conversation about whether the opportunity is worth exploring together.
No obligation · Information onlyWhat EDITH does at this stage
- Receive and review your enquiry
- Ask qualifying questions about the land/asset
- Respond within 3 business days
Site or project assessment
EDITH's team visits the site and/or reviews the project financials. Title, zoning, FSI, and development potential are assessed. Feasibility is modelled by our CA/CS team.
Led by: Land & JV team + CA/CSWhat EDITH does at this stage
- Physical site visit
- Title and zoning check
- FSI and development potential
- CA/CS financial feasibility model
Term sheet
If the project is viable and both sides want to proceed, EDITH prepares a term sheet outlining the contribution ratios, split structure, and key obligations.
This is not the final agreement — it is the basis for negotiation, and both sides can walk away at this stage.
Not binding · Basis for negotiationWhat EDITH does at this stage
- Prepare contribution ratio model
- Draft split structure proposal
- Outline key obligations on each side
JDA / JV agreement
The final agreement is drafted by EDITH's CA/CS team and reviewed by legal counsel. Both parties sign before any work begins.
Stamp duty is paid on the JDA as required. No construction begins without a signed agreement.
Led by: CA/CS + legal counselWhat EDITH does at this stage
- CA/CS draft the full JDA/JV agreement
- Legal review by both parties
- Stamp duty on JDA as applicable
- Registration at Sub-Registrar
RERA registration & project start
The project is RERA-registered before any marketing begins — this is a legal requirement, not a choice. From here, the full EDITH project lifecycle kicks in: design, approvals, construction, marketing, sale, delivery.
Led by: EDITH compliance + project teamWhat EDITH does at this stage
- RERA registration filing and tracking
- Architect-led design
- Local approvals and NOCs
- Authorised engineer partner assignment
A good JV is built on clarity
What needs to be established before anything is signed
Because a JV involves significant assets and real financial commitments, every arrangement goes through five checkpoints — in this order, with nothing skipped.
- 01
Verify
Land title, ownership documents, EC from IGRS, and any existing encumbrances.
- 02
Evaluate
Location, FSI, zoning, access, feasibility — does the project make financial sense?
- 03
Structure
JDA or revenue/profit JV? Contribution ratios, risk allocation, RERA promoter designation.
- 04
Document
CA/CS-drafted agreement with exit terms, obligations, payment schedule, and timeline. Both parties sign before work begins.
- 05
Execute
RERA-registered project, construction begins under the agreed structure, with reporting on the agreed cadence.
What EDITH does not guarantee: Returns, project completion timelines, land value appreciation, or regulatory approvals. EDITH's CA/CS team structures arrangements — they are not your personal advisors. Obtain independent legal and financial advice before any agreement.

Tell us what you're working with
The more detail you give us, the faster we can assess whether this is a project we can build together. No commitment on your side at this stage — just the information we need to have a useful first conversation.
You bring Land + EDITH brings Development → One project.
Have a development opportunity?
Whether you own land, have capital, or bring construction expertise — start the conversation. No commitment from either side until a signed JDA says otherwise.
